BYLAWS OF THE
NEW YORK STATE SKI RACING
ASSOCIATION - NORDIC, INC.
(As revised September 20, 1998)
ARTCLE I - Authority
1. The Name of the organization
shall be the New York State Ski Racing Association - Nordic, Inc.
(NYSSRA-Nordic)
2. The president, secretary and
treasurer of the organization shall serve as its directors.
ARTICLE II - Purposes
1. To serve as a coordinating
body for all Nordic skisport related activity within New York State. Nordic
skisport activities shall include but not be limited to: cross country skiing,
biathlon, ski orienteering, jumping and Nordic combined. As such
NYSSRA-Nordic shall work in conjunction with the designated national governing
bodies of these discipline including USSA for cross country, jumping and Nordic
combined, USBA for biathlon, and USOF in ski orienteering.
2. To determine criteria for
qualification to Empire State Winter Games in the Nordic skisport events and
publish them annually.
3. To establish a Nordic news
network for distribution of Nordic news throughout New York State.
4. To annually develop and
publish a schedule of Nordic ski sport events, races, training camps, clinics
etc.
5. To support the development
of Nordic skisport activity within New York State by:
a Providing
educational and informational programs for athletes and parents;
b providing
direct support to worthy athletes representing New York at regional, national
and international competition and training programs;
c Providing
direct support to coaches/trainers who assist in the development of Nordic
Skisport at the local club level within New York State; and
d Fostering
a youth development program.
ARTICLE III - Membership
1. NYSSRA-Nordic shall be a
membership organization.
2. There shall be four (5)
classes of membership:
a Individual
- open to any adult of youth;
b Family
- consisting of one or two adults in the same household and any additional
children, age 18 or under and still actively enrolled in school below the
collegiate level;
c Honorary
- named at the discretion of the Board of Delegates based on outstanding
contributions to skisport.
d Club
- consisting of a collegiate team, regional organization, or local club. To be eligible for this class of
membership the clubÕs chief executive officer, his/her second, chief fiscal
officer, and secretary must each be individual or family members.
e Life - consisting of an individual membership that is paid up for the individual's life.
ARTICLE IV - Organization
1. Government - The governance of NYSSRA-Nordic shall be vested in a Board of Delegates which shall meet on a twice yearly basis in the spring and fall.
2. 2. Delegates - Each Club, as defined in Article III, Paragraph 2.d. above, shall be represented by a delegate who shall serve at the discretion of the regional or local club and entitled to vote in behalf of the club. One delegate shall be appointed to attend each NYSSRA semiannual meeting by each member club. Member clubs must be actively sanctioned by NYSSRA Nordic, Inc in order for the appointed delegate to vote at the meeting. The appointed delegate must be an active NYSSRA member and identified to the President prior to the start of business at the meeting. Individuals may only represent one member club when acting as a delegate.
3. In addition, the chair of
each of the four (4) discipline committees shall serve on the Board of
Delegates:
Cross
Country
Biathlon
Ski
Orienteering
Jumping
and Nordic Combined.
a. In the event that the chair
of a discipline committee is unable to attend, the committee shall designate an
alternate with voting privileges for the delegates meeting.
ARTICLE V - Officers
1. The Board of Delegates at
its fall meeting every even numbered year shall elect from the NYSSRA-Nordic
membership the following officers:
a. President - shall preside
over all meetings of NYSSRA-Nordic and along with the other officers, shall
meet with the Board of Delegates at least once per year.
b. First Vice President - shall
serve in the absence of the president and shall be next in line for the
position of president.
c. Second Vice President -
shall be next in line for first vice president.
d. Recording Secretary - shall
be responsible for keeping all records of the two semi-annual meetings.
e. Corresponding Secretary -
shall be responsible for all correspondence as is necessary for the transaction
of business.
f. Treasurer - shall keep the
books and be receiver of all dues and other receipts and shall have the power
of signature of checks along with the president.
2. Terms of Office: Each
officer shall be elected for a term of two years. The treasurer and
secretary, only, may succeed themselves in their offices.
3. Executive Board: The five
(5) officers together with the immediate past president shall serve collectively
as the Executive Board and shall be empowered to act for the Board of Delegates
between meetings of the delegates on matters of urgency that cannot wait until
the next meeting of the Board of Delegates.
ARTICLE VI - Quorum
1. A quorum for the delegates
meeting shall consist of the delegates present, but must include at least one
officer and representatives from at least three (3) clubs.
2. A quorum of the Executive
Board shall consist of at least three (3) members in person or by conference
call.
3. A quorum for committees
shall be the members present unless otherwise stated by the committee.
ARTICLE VII - Committees
1. There shall be the following
standing committees:
a.
Cross Country
b.
Biathlon
c. Ski
Orienteering
d.
Jumping and Nordic Combined
e.
Nominating
f.
Awards
g.
Public Relations and Publications
2. There may be ad hoc
committees and liaison persons established as needs determine at the discretion
of the president, the Board of Delegates or the Executive Board.
ARTICLE VIII - Amendments
1. These bylaws can only be
amended by the action of the Board of Delegates at a regular semiannual
meeting. The proposed amendment must be presented in writing at one
meeting of the Board of Delegates and then voted upon at the next meeting. Passage
requires a two thirds vote of the delegates present.
ARTICLE X - Dissolution
1. NYSSRA-Nordic may dissolve
at the discretion of a two thirds vote of the Board of Delegates only at a
regular meeting.
2. In the event of dissolution, all assets of NYSSRA-Nordic
shall be used first to pay off any indebtedness and any residual shall be
donated to the New York State Ski Education Foundation to be used for the
benefit of Nordic skiing activities of individuals from New York State.
